In response to the Staffs comments, the Company has revised the Offer to Exchange to provide that any determination that the Company makes concerning the events, terms and conditions described in the Offer to Exchange may be challenged in a court of competent jurisdiction and that any non-appealable determination by a court of competent jurisdiction will be final and binding on all parties.
